ESSENTIAL DUTIES AND RESPONSIBILITIES:


  • Report directly to the Senior Vice President of Silicon Technology & Manufacturing (STM)
  • Work directly with the SVP and his staff in matters related to the internal operations of the STM organization, as well as support for corporate level deliverables and responsibilities.
  • Provide legal and strategic support on all aspects of key strategic relationships for STM, including cross-border joint ventures, other collaborations and related corporate and commercial transactions.
  • Lead and assist in drafting and negotiating complex agreements, including joint venture, collaboration and research and development agreements.
  • Counsel internal clients on rights, obligations and restrictions under existing agreements, dispute resolution and other legal and business risks.
  • Coordinate feedback and work with business functions (operations, technology, finance, tax, communications, etc.) and subject matter specialists in the legal team.
  • Support members of various business functions and the legal team by serving as a subject matter specialist, including advising on related public disclosures and communications.
  • Assist with developing policies and procedures related to the foregoing
QUALIFICATIONS:
  •  Juris Doctor (JD) degree or foreign degree equivalent and a minimum of 7 years of relevant work experience
  •  Experience managing and executing complex, cross-border transactions and collaborations
  • Experience working in Asia, with Asian clients and Asian counterparties
  • Experience with corporate transactions and contract negotiation
  • An aptitude to learn new areas quickly, strong organization and communication skills, process driven, able to handle a diversity of tasks simultaneously, with a flexible and adaptable attitude and mindset
